Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cosmica desktop application and this website (together, the "Service"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Cosmica is a local-first notepad application that stores notes as plain Markdown files on your own device and integrates optionally with locally-installed command-line AI tools (such as Claude Code CLI or Codex CLI) that you independently install. The Service does not rely on our servers to store or process your content.

2. License and Permitted Use

Subject to these Terms, you are granted a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service for personal, non-commercial purposes only. All rights not expressly granted are reserved.

Any business, commercial, or organizational use — including, without limitation, use by or on behalf of a company, nonprofit, government entity, educational institution, or any user acting in a professional capacity, as well as any use intended to generate revenue or provide services to third parties — requires a separate written agreement with the maintainer. Please contact the maintainer via the links in the site footer to arrange such an agreement before using the Service for any commercial or business purpose.

3. Prohibited Conduct

You may not, and may not permit any third party to, do any of the following:

• Modify, adapt, translate, alter, or create derivative works of the Service, in whole or in part
• Redistribute, republish, publish, mirror, host, sell, rent, lease, loan, sublicense, assign, or otherwise transfer the Service or any portion of it, whether modified or unmodified, to any third party
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the limited extent such activity is expressly permitted by applicable law notwithstanding this restriction
• Remove, obscure, alter, or bypass any proprietary notices, trademarks, watermarks, or digital rights management contained in the Service
• Incorporate the Service, in whole or in part, into any other product, offering, or package for distribution, whether free or paid
• Use the Service to build, train, or evaluate any competing product or service
• Use the Service in any manner that violates any applicable law, regulation, or the rights of any third party

4. User Responsibility

You are solely responsible for the content you create, store, and export through the Service, and for complying with all laws that apply to that content. Because data is stored locally on your device, you are also responsible for backing up your own files.

5. Third-Party Tools and Services

The Service may interact with third-party tools installed on your system (for example, AI command-line tools) and link to third-party websites. Your use of those tools and websites is governed by their own terms and policies. We make no representations about, and are not responsible for, any third-party tools or services.

6. Intellectual Property

All intellectual property rights in the Service, including its name, logo, and design, belong to the maintainer of Cosmica. Content you create using the Service remains yours.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, NOR THAT ANY DATA YOU STORE WITH OR PROCESS THROUGH THE SERVICE WILL BE PRESERVED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE MAINTAINER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify and hold harmless the maintainer from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or your violation of these Terms.

10. Changes to the Terms

We may modify these Terms at any time. Updated Terms become effective when posted on this page, as indicated by the "Last updated" date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

11. Termination

You may stop using the Service at any time by uninstalling the application. We may, at our sole discretion and without notice, suspend or terminate your license to use the Service, including if we believe you have breached these Terms. Upon termination, you must cease all use of the Service and delete any copies in your possession. Sections 3, 6, 7, 8, 9, and 12 shall survive any termination of these Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts located in Seoul, Republic of Korea, except where applicable law requires otherwise.
